Director, Securities Counsel

Location: Remote, USA

Employment Type: Full-Time

Compensation: $195,000.00 - $260,000.00 (Range applies to US candidates only) + Benefits/Variable Comp/Equity - Range may vary based on experience.

Summary

OneStream is looking for a skilled Corporate Securities Counsel to join our Legal team, reporting to the General Counsel, with partial paralegal support. This role involves responsibility for a range of corporate governance, corporate development, public reporting, and securities law matters, working cross-functionally with our Finance and Accounting, Business Development and Human Resources teams. Ideal candidates will have impeccable subject matter knowledge in corporate and securities law, excellent written and verbal communication skills, intellectual curiosity, and the ability to maintain a sense of humor under stress. Experience in a publicly traded, emerging growth company is not required but is preferred.

Primary Duties and Responsibilities




  • Assisting with drafting and reviewing of current, quarterly, and annual reports, and preparation of annual shareholder meeting materials.
  • Providing key support to financial reporting and investor relations teams during quarterly earnings cycles, including research and advice on financial disclosure requirements and regulatory compliance.
  • Working on any securities offerings or other financing transactions.
  • Supporting business development team in connection with minority investment and M&A activities.
  • Monitoring, communicating, and advising leadership on changes of law and best practices for public companies.
  • Supporting insider trading compliance, including Section 16 and 10b5-1 trading plans.
  • Advising on executive compensation issues and the Company's equity incentive plan.
  • Supporting and collaborating with other in-house attorneys and outside advisors (including outside counsel) on corporate transactions.
  • Advising on corporate governance matters related to corporate and securities laws and Nasdaq listing rules.
  • Overseeing corporate entity maintenance and management.
  • Other general corporate matters.



Required Education and Experience




  • 5+ years of experience in corporate securities law with at least 3 years at a nationally recognized firm.
  • Proven history of being a trusted advisor in securities law and corporate governance matters.
  • Experience with direct interaction with both internal and external clients and across all organizational levels.
  • JD from an accredited law school.
  • Member of a State Bar and in good standing.



Preferred Education and Experience




  • Exposure to SaaS and software license industry.
  • Experienced in venture capital and mergers and acquisitions.
  • Experience with equity compensation matters.

  • Strong corporate and securities law background.
  • Experienced in the practice of delivering creative solutions.
  • High degree of independence, initiative, judgement, and decisiveness.
  • Ability to deliver results, both as an individual contributor and as a member of the global legal teams.
  • Capacity to lead projects and coordinate external advisors.
  • Demonstrated ability to quickly digest complex information and informed decisions.
  • Must be self-motivated with high energy.
  • Strong analytical, attention-to-detail, and problem-solving skills.
  • Strong written and verbal communication skills, including the drafting of agreements and giving advice in plain English.
  • Excellent interpersonal skills.
  • Comfortable in a fast-paced and evolving environment.


Supervisory Responsibilities




  • This position will have supervisory responsibilities.



Travel




  • Regular travel is not expected for this position; however, remote candidates will be expected to travel to company headquarters periodically.
