GENERAL FUNCTION:

The Legal Counsel will manage and advise on a variety of commercial payments products. Subject matter expert in Commercial Banking and Payments. Regularly advise and counsel business clients on product specific laws and regulations, compliance, operational, and reputational risk issues emanating from Financial Services and the Payments Industry; and, in all matters which are regulated by the Office of the Comptroller of the Currency, Federal Reserve Board, and, Consumer Financial Protection Bureau. Regularly advise the line of business on payments disputes, with an emphasis on check disputes under the UCC.

Experience as a practicing attorney in financial services or supporting treasury or cash management business is highly desired; government or other contract negotiation; drafting product and service terms and conditions.

ESSENTIAL DUTIES AND RESPONSIBILITIES:

• Provide legal guidance and counsel to specific department, division, line of business, etc. Works with representatives from various departments on developing /modifying policies and procedures where necessary. Perform all necessary legal research for area of responsibility.

• Review and negotiate bank agreements with clients and the bank's vendors, at times distributing them to appropriate outside counsel. Acts as a liaison with outside law firms.

• Maintain an up-to-date awareness of all new and changing laws and legislation to protect the Bancorp from potential litigation and ensure compliance with payment network rules.

• Assist in the negotiation and closing of acquisition and disposition transactions.

• Allocates and reviews work, provides training, works with staff to set and achieve objectives, and guides and advises subordinates for individual development.

• Proactive surveillance of regulatory changes to the environment.

• Oversee and approve regulatory inventory.

• Ongoing guidance of the Interpretation for regulatory requirements and impacted changes.

MINIMUM KNOWLEDGE, SKILLS AND ABILITIES REQUIRED:

• Minimum 3-5 years experience preferred.

• J.D. required.

• Admission to a state bar.

• Excellent interpersonal, negotiation, verbal and written communication and presentation skills.

• Problem resolution and analytical skills and the ability to interact well with all organizational levels.

• Previous leadership experience preferred or equivalent mentorship/management of project work.

• Demonstrated ability to interact effectively with senior professionals, showcasing strong executive presence.
