Pursuit Aerospace is seeking an Assistant General Counsel, Transactions for its Corporate office located in Manchester, CT.

PURPOSE/SUMMARY:

We are looking for a dynamic and experienced attorney to manage transaction-related activities across our global business. Reporting directly to the General Counsel, this position is located at our corporate headquarters in Manchester, CT, with some travel (10%) to other locations.

ESSENTIAL DUTIES AND RESPONSIBILITIES:

The Assistant General Counsel, Transactions provides legal support and leadership for corporate transactions including mergers, acquisitions, and divestitures; and for strategic transactions including joint ventures, private equity investments, and other commercial arrangements.

Transaction Structuring and Due Diligence:

  • Assist in structuring complex M&A transactions, including deal terms, financing mechanisms, and required agreements.
  • Lead the legal due diligence process, coordinating input from various functional groups within the Company in preparing diligence requests and identifying and evaluating potential legal risks associated with prospective acquisitions, and in responding to requests in connection with divestitures.
    • Analyze target company legal documentation and compliance with applicable laws.

Contract Drafting and Negotiation:

  • Draft and negotiate key transaction documents such as NDAs, IOIs and LOIs, merger agreements, stock purchase agreements, asset purchase agreements, and related ancillary agreements.
  • Manage the negotiation process with counterparties and internal stakeholders, working with external counsel and other advisors as appropriate.
    • Ensure legal accuracy and alignment with business objectives in all contracts.

Regulatory Compliance:

  • Advise on antitrust, securities, and other relevant regulatory considerations related to M&A transactions.
    • Coordinate with external counsel on regulatory filings and approvals.
    • Prepare board and management presentations and approvals.

Internal Legal Support:

  • Provide legal advice to management on M&A strategy, deal evaluation, and potential risks.
    • Collaborate with cross-functional teams including finance, operations, and business development on M&A initiatives.

Post-Closing Integration:

  • Support legal aspects of post-closing integration, including contract assignment, intellectual property transfer, and compliance with post-acquisition obligations.

The AGC-Transactions will also perform other legal tasks as may be assigned by the General Counsel.

QUALIFICATIONS AND EXPERIENCE

Required

  • Juris Doctor degree from an ABA-accredited law school.
  • Licensed and in good standing in the state of residence (or eligible for in-house exemption).
  • At least 5 years of M&A and corporate transactional experience at a corporate law firm or in-house legal department, including having "first-chaired" complex deal negotiations and overseen closing mechanics and documentation.

Desired

  • Significant experience drafting and negotiating a large volume of corporate and commercial agreements and transaction documents.
  • Strong understanding of corporate law, securities regulations, antitrust laws, and relevant industry regulations.
  • Outstanding analytical, written, verbal, and interpersonal skills, with the ability to manage multiple projects simultaneously and to work effectively with senior management and across functional business teams.
