We seek an enthusiastic and experienced attorney to work on industry-leading transactions alongside entrepreneurial, engaged colleagues who are passionate about music and working as a team. The position reports to the Chief Business Affairs Officer & General Counsel, is full-time, and offers a hybrid in-office and remote work schedule.



Qualifications: You should have at least 7 years of transactional entertainment experience (strong law firm and/or label/publisher in-house experience required, preferably with music M&A training), and be someone who:

  • is a self-starting quick study, able to work independently
  • has strong communication and leadership skills
  • is exceptionally detail oriented
  • is a practical thinker and creative problem solver
  • is flexible and comfortable managing a high volume, diverse workload in a dynamic, fast-paced environment
  • has strong drafting skills and effectively negotiates complex terms with a high level of professionalism and good judgment
  • enjoys working collaboratively with lawyers and non-lawyers alike
  • has a deep understanding of the music business, and proficiency in copyright law, music asset rights, and income streams
  • is in good standing with the NY or CA bar
  • Juris Doctorate


Responsibilities: In this position, you will:

  • Lead significant, time sensitive work on music catalog and related asset acquisitions

    • Participate in potential deal analysis and discussion, including weekly meetings with senior management
    • Draft and negotiate letters of intent
    • Conduct legal due diligence; understand and discuss financial/royalty due diligence matters
    • Oversee outside transaction counsel
    • Review and prepare comments to long form and ancillary transaction documents
    • Reconcile asset data for purchase agreement schedules
    • Assist with related financing statement preparation and filings
    • Coordinate deal closings
    • Educate Primary Wave teams concerning new catalog rights


  • Draft and negotiate business arrangements for Primary Wave's branding, content, digital, marketing, publishing, and talent management divisions, including:

    • licenses involving the names, images, likenesses and trademarks of Primary Wave artists (merchandising and other brand deals), and sponsorship deals
    • content development, producer, and project financing agreements
    • emerging technology licenses
    • publishing administration, option agreements, service loanouts to film and TV studios, sample and interpolation clearances, and songwriting camps
    • talent management agreements
    • consulting agreements


  • Manage business & legal affairs tasks for new record releases and marketing campaigns
  • Support brand protection activities in conjunction with outside trademark counsel
  • Conduct catalog rights research
  • Stay current on relevant legal developments and industry trends
  • Accept other related duties as assigned
