Wieland North America is looking for a Corporate Counsel [DOE] to join our small but dedicated and collaborative North American legal team and to support our global compliance function. Reporting to the Vice President Compliance in Germany, with a dotted line reporting to the Associate General Counsel, the primary responsibility for this role will be to support the Vice President Compliance in the further establishment of the group-wide Compliance Management System (based on the ISO 37301:2021) within the North American Wieland companies. This includes in particular the implementation of onboardings for companies and staff, Compliance Risk Assessments (based on a well-established procedure), and the development and implementation of good practices to improve the Compliance Culture, especially in the areas of the prevention of corruption, anti-trust and the prevention of money laundering.

This role will, where the compliance-related workload allows, also review, advise, and negotiate a variety of commercial agreements for both domestic and international deals. This critical role will also support broader legal matters, such as legal policies, litigation, privacy, employment matters, and other cross-functional matters. The successful candidate must be willing to become a true corporate generalist and be willing to learn new areas of law as needed. This role will ultimately assist in all areas of legal and compliance and a strong desire to work in new areas of law and to address novel legal issues will be essential to your success and happiness in this role.

This role will sit at our corporate headquarters office in Louisville, KY. A hybrid schedule is available.



Responsibilities

Corporate Counsel Responsibilities:

Establishment of the group-wide Compliance Management System, this will include:

    Compliance Onboardings of Wieland Companies in the US
  • Optimization of Compliance Trainings, giving trainings and onboardings to staff
  • Monitoring changes / trends in US law in the areas of anti-trust law, money laundering law and corruption prevention and integration of the resulting requirements into the global Policies
  • Support of the US legal team / the VP Compliance in performing internal investigation
  • Supporting / guiding Wieland companies re the Compliance Risk Assessment

Support of the North American business units, legal team and central functions, this will include:

  • Review, advise, and negotiate a variety of complex commercial agreements.
  • Take a practical, creative and proactive problem-solving approach to efficiently close deals while advising business leaders on acceptable risk.
  • Occasionally collaborate with outside counsel on complex or Customer paper deals, as needed.
  • Collaborate with cross-functional business teams, such as finance, support, and security to efficiently resolve commercial and operational matters, including the launch of new go-to-market structures and programs / other projects as required.
  • Assist in creating and improving our form agreements and playbooks, as needed.
  • Contribute to the development of workflows and processes needed to efficiently scale the legal team, such as those related to the negotiation and signature of final agreements, and the tracking of contractual obligations in those agreements.

Corporate Counsel Qualifications:

  • JD degree from top-tier law school and member in good standing with a state bar
  • 2-5+ years of experience as a practicing attorney, with 2-5+ years of commercial legal experience
  • Strong communication, negotiation, and presentation skills
  • Prior in-house experience a plus, but not required
  • Intercultural competence (US / Europe)
  • Travel readiness (inside the US, Mexico. Germany)
  • Must be a team player, our North American legal department addresses our fair share of drama during the day and prefers not to create any of our own
  • Spanish language skills are a plus
