POSITION SUMMARYThe Paralegal II role will will be responsible for drafting, reviewing and revising complex commercial contracts and other legal documents which may include, real estate transactional documents and title work, collateral documents, and corporate governance documents and filings; researching and interpreting statutes and regulations; leading administration of acquisitions, divestitures, investments, and real estate transactions and assisting with related processes; and leading other projects in support of assigned divisions or departments.

This position will be located at our Corporate Office in Appleton, WI with in-office expectations four days/week (Monday - Thursday) with Fridays as an optional in-office or work from home day, depending on business need. JOB RESPONSIBILITIES

Essential Job Responsibilities:

  • Prepare, review and revise various contracts and legal documents including vendor/service agreements, purchase and sale agreements, confidentiality agreements, licensing agreements, collateral and security documents, leases and correspondence
  • Perform initial matter intakes; manage and administrate the flow of contracts
  • File/record, track, and calendar collateral/security documents
  • Calendar key contract dates
  • Maintain electronic files in organized manner in accordance with set processes
  • Assist attorneys with transaction closings, other corporate matters, and special projects as assigned
  • Conduct legal research as requested
  • Assist with preparation and maintenance of corporate entity organizational documents
  • Successfully complete special projects and other assignments as requested
  • Build and maintain positive internal and external customer relationships
  • Understand and support corporate and Legal Department vision, mission, and strategies

QUALIFICATIONS

Required:

  • At least 5 years prior relevant experience in either a law firm or corporate legal department with a working knowledge in one or more areas of expertise: real estate transactions including title work, commercial contracts and leases, corporate records, corporate guidance, litigation and worker's compensation, intellectual property, tech/innovation/sustainability, renewable energy.
  • Highly motivated, involved professional who is eager to learn and able to work independently with a strong sense of urgency under moderate supervision
  • Proficient in complex contract drafting and review
  • Excellent research, communications, and writing skills including proficient proofreading and editing ability
  • Strong critical thinking skills with adeptness at identifying and articulating legal issues and risks as well as recommending and implementing appropriate courses of action
  • Competent in utilizing technology and capable of readily adapting to new software and applications
  • Thorough knowledge of Microsoft 365
  • Organized and detail-oriented with ability to prioritize and perform well under pressure of deadlines and multiple projects
  • Collaborates effectively with Legal team members as well as throughout the company
  • Performs and leads/co-leads complex activities with moderate supervision
  • Working knowledge of industry and company acumen
  • Ability to help establish and enforce department and company procedures as they relate to legal projects and assignments

Preferred:

  • Bachelor's degree preferred
  • ABA paralegal certificate or paralegal associate degree preferred
  • Wisconsin State Bar Paralegal Certification preferred
