Alcon is seeking a mid-level deal lawyer to join Alcon as Legal Counsel supporting Mergers & Acquisitions and Securities. This is a rare in-house opportunity to provide legal advice and counsel to members of our Business Development & Licensing (BD&L) team and senior management regarding Alcon's strategic transactions. Alcon is highly focused on innovation, and a large part of that strategy is acquiring external technology. As a result, this is a high-profile position within Alcon. In this role, you will be trusted to provide high quality technical legal support in substantive areas of strategic global transactions, including mergers and acquisitions, inbound and outbound licensing of technology and intellectual property, and research and development agreements. Deals may also involve exclusive supply arrangements, strategic ventures, and venture capital transactions. You will act as a strategic partner to Alcon's business leaders. In addition, you may be called upon to assist in capital markets transactions and periodic securities filings. Some of your responsibilities would include:

  • Providing substantive legal and strategic advice and counsel to the BD&L team, global franchise leadership, senior management, and the legal team with respect to strategic global transactions.
  • Providing high quality support as legal counsel throughout the life of each transaction, including due diligence, negotiation, approval, execution, integration and contract management.
  • Training and advising management on new legal trends and legislation affecting Alcon's deal strategy.
  • Instructing and supervising Alcon's external law firms.
  • Counseling senior-level executives and business teams within other functions on deal matters.
  • Developing and counseling on appropriate Alcon global policies.
  • Working within Integrity and Compliance policies and counseling those around them to do the same.

WHAT YOU'LL BRING TO ALCON:

  • Bachelor's Degree or Equivalent years of directly related experience (or high school+15 yrs; Assoc.+11 yrs; M.S.+4 yrs; PhD+3 yrs)
  • The ability to fluently read, write, understand and communicate in English
  • 7 Years of Relevant Experience
  • Juris Doctor Degree with excellent academic credentials. Member of a state bar in good standing.
  • Familiarity with specialized areas that arise frequently in M&A and other transactions (e.g., corporate tax, employee benefits, employment matters, executive compensation, antitrust, and securities)
  • Ability to work independently and collaboratively in a collegial, fast-paced team environment
  • Proactive, solution-oriented approach to resolving issues
  • Excellent business judgment and strategic thinking
  • Comfort in advising and interacting with senior executives and business unit leaders
  • Agility in managing multiple projects in an efficient and timely manner
  • Outstanding verbal and written communication skills, and attention to detail
