The Position

The Opportunity

The Legal Counsel - Commercial IT & Privacy role will provide counseling on commercial IT and digital health to all functional groups within Roche Diagnostics Corporation, Roche Diagnostics Operations and Roche Diabetes Care, Inc. The support will include services to the business, including management, marketing, sales, research and development, and manufacturing. You will develop an in-depth working knowledge of Roche's commercial IT and digital health products, pipeline, market and business models and how they are influenced and impacted by US Privacy laws, and apply this knowledge in the delivery of sound and practical legal advice.

Primary Responsibilities:

  • Provides proactive and strategic legal advice to business franchises, business units and other functions and clients within Roche Diagnostics by developing practical compliant solutions, and positions on Legal, Privacy, and Compliance as a competitive advantage to the business.

  • Responsible for all aspects of commercial IT contracts: maximizing business opportunity while minimizing risk associated with the (a) marketing, sales and service of products within the United States and (b) development and production of local and global commercial IT and digital health products; and (2) acting as the legal conduit to Roche Diagnostics Corporation for the North America Diagnostics Digital and Privacy team.

  • Assists with the Ethics & Compliance function with investigations, roll-out, training and application of Compliance policies and rendering advice on compliance with Company policies and regulatory requirements.

  • Contributes to the Legal department's policy and position-setting based on cross-functional expertise and exposure to multiple aspects of Roche business.

  • Develops and conducts trainings with executive teams and the business.

  • Deals with diverse and often times complex and sensitive issues, where analysis may require discretion, collaboration and in-depth evaluation of many factors.

  • Exercises independent judgment in evaluating methods and determining criteria to develop solutions.

  • Act as a bridge between RDC and the North America Diagnostics Digital and Privacy team, executing on direction and strategy in the Privacy space, implementing and negotiating templates, and communicating areas of opportunity to the Digital and Privacy team.

  • Assist the Ethics & Compliance team with ensuring Company compliance with laws, regulations and industry standards that include, among others, state and federal anti-kickback statutes, compliance with FDA and other relevant regulatory requirements, and compliance with applicable corporate codes and policies.

  • Foster cross-functional and unit collaboration and understanding of Roche Diagnostics' businesses, products, customers and goals.

  • Review and keep business unit management informed of legal developments. Understand competitive landscape and proactively develop competitive legal and compliance solutions that best positions Roche.

  • Work as a liaison between clients and subject matter expert attorneys (intellectual property, regulatory, fraud and abuse) to ensure effective mitigation of risk in specialized areas of law.

  • Negotiate, draft and review contracts and other legal documents required by the relevant franchise and business unit.

Who You Are

  • Doctor of Jurisprudence from an ABA-accredited law school, licensed to practice law in one or more of the 50 states in good standing.

  • At least five (5) years of experience practicing law at a large- to medium-sized law firm or within a corporate law or contracting department in a Life Sciences company (i.e., Pharma, Diagnostics, Devices, Biotech)

  • Strong transactional, contract development and negotiation experience

  • Experience reviewing, drafting, and negotiating information security and privacy provisions in agreements and business associate agreements; privacy and data transfer or processing agreements is preferred.

  • Experience advising on information security and privacy issues, particularly those associated with consulting, technology, or cloud computing agreements is preferred.

  • Knowledge of, and working experience with, federal, state, and international information security and privacy laws, rules, regulations, and industry standards (such as HIPAA, CCPA, GDPR) is preferred.

  • A demonstrated ability to establish and maintain open, candid, collaborative, and trusting work relationships.

  • Ability to exercise independent judgment, and to work with and maintain confidential and sensitive information.

  • A professional with a positive can-do attitude, flexibility and adaptability, wide-ranging experience, business acumen, professionalism and sound judgment.

  • Excellent analytical and problem solving skills and the ability to manage ambiguous situations and issues.

  • Proven ability to take a proactive long-term view of business goals and objectives in order to achieve strategic business results.

  • Ability to function effectively and efficiently in a fast-paced and dynamic environment with a sense of urgency.

This position is based in Indianapolis, IN and has an in office requirement.

The expected salary range for this position based on the primary location of Indiana is $138,000 -$256,400. Actual pay will be determined based on experience, qualifications, geographic location, and other job-related factors permitted by law. A discretionary annual bonus may be available based on individual and Company performance. This position also qualifies for the benefits detailed at the link provided below.
