About the Role

The Senior Legal Assistant will provide administrative and corporate governance support as the primary focus of the role, along with legal and operational assistance to a dynamic team of legal professionals in New York. Working alongside a team dedicated to delivering expert advice to the U.S. market, the position plays an important part in advancing Springer Nature's mission and protecting its businesses and reputation globally.

Responsibilities

Administrative and Corporate Governance Responsibilities (Core Focus)

  • Manage calendars, schedules, and travel arrangements, including visa applications and expense processing

  • Organize meetings and conference calls; prepare related documents and presentations

  • Maintain physical and electronic files and manage departmental office supplies

  • Process expenses and handle general clerical duties such as photocopying, mailing, and filing

  • Prepare advanced Microsoft PowerPoint presentations and Excel spreadsheets

  • Manage corporate secretarial functions for U.S. entities, including maintaining corporate books and records, preparing minutes and consents, officers' certificates, and coordinating required state filings with outside counsel

  • Monitor alerts from corporate compliance services to help respond to government filing requirements and legal notifications

  • Assist with KYC and other informational requests

Additional Legal and Operational Support Responsibilities

  • Provide administrative support to the U.S. legal team, including assisting with contract management, project support, and maintenance of physical and electronic files

  • Attend, keep minutes, and assist with the preparation of agendas for certain meetings involving major projects

  • Review all incoming subpoenas, complaints, and lawsuits in the U.S. and coordinate responses with appropriate members of the legal team

  • Assist attorneys with litigation-related tasks such as document production

  • Assist with the creation of intercompany agreements, including the preparation of schedules and exhibits

  • Support due diligence efforts in M&A transactions

  • Assist with legal research and analysis

  • Assist with management of legal team databases and document management systems, including data entry and retrieval

  • Provide administrative support for trademarks

  • Maintain standard form/model legal documentation and department training, and research materials

  • Review bankruptcy filing notifications to the New York office and delegate follow-up actions to appropriate attorneys or central services colleagues

  • Review physical mail and electronic communications sent to the New York legal department and delegate to the appropriate legal colleague or stakeholder

  • Support risk management oversight for U.S. market with Head of Legal

  • Support learning and development administration, including the facilitation of GCO programs

Experience, Skills & Qualifications

  • Bachelor's degree required

  • Six or more years' previous legal or high-level professional admin experience, preferably in an international company

  • Corporate governance experience or exposure is required; certification a plus

  • Familiarity with corporate law concepts and ability to support governance processes a plus

  • Strong organization skills and excellent time management

  • Excellent attention to detail, project management, and a high level of accuracy

  • Collaborative team player

  • Proficiency in Microsoft Office Suite; Workiva, Freshdesk, SharePoint, iManage, and Xflow is a plus

  • Professional verbal and written communication skills with the ability to communicate at all levels of the organization

  • High level of integrity and strong professional ethics

US Annualized Base Salary Range: $85,000 - $100,000. The salary offer may vary based on work experience, education, skill level, and equity. The US salary range does not align with the salary ranges in other countries when converted to the currency of that country.
