Job Title: Associate Corporate Counsel

Classification: Exempt

Job Summary: We are looking for an in-house lawyer to be part of our growing Legal Department with particular emphasis on assisting Senior Corporate Counsel with development and implementation of the company's contract review and management program; data privacy processes and compliance; and regulatory and industry compliance matters. This position will report to the General Counsel.

Competitive annual-based salary: $125,000-150,000

Essential Functions:



  • Draft, review, and negotiate a wide range of commercial agreements, including customer, vendor, leasing, and service agreements.
  • Research and provide legal guidance on compliance and regulatory matters
  • Support contract lifecycle management and develop and maintain legal documentation and templates


  • Monitor and interpret new laws and regulations affecting business operations and assist in implementing necessary changes.
  • Support internal training and education on legal issues and corporate policies.
  • Collaborate with cross-functional teams, including Sales, Operations Support, IT, Accounting, and HR.
  • Overseeing the improvement of Legal Department processes to increase efficiencies and mitigate legal and compliance risks.
  • Managing compliance with applicable laws and regulations and undertaking legal research and analysis to stay current on legal developments that may impact the company, particular in HR and environmental areas.
  • Advising on data privacy and protection matters, including compliance with international regulations, US regulations, and state regulations, data transfer requirements, e-privacy and marketing, and data processing provisions in customer and vendor contracts.
  • Legal operations development and support.

  • Ability to effectively and efficiently respond to questions that business units bring to the Legal Department.
  • Ability to follow directions as given, understand the purpose of an assignment, and implement problem-solving abilities and adapt or pivot as needed.
  • Continually looking for practical ways to improve processes and support the scale of the business.
  • Excellent time management skills with a proven ability to meet deadlines.
  • Self-motivated and ability to work independently.
  • Attention to detail.
  • Familiarity with legal processes and procedures.
  • Strong analytical and problem-solving skills.
  • Ability to maintain confidentiality.
  • Strong research skills.
  • Proficiency in Microsoft Office Suite, particularly Word, Excel, and PowerPoint.
  • Proficiency in Adobe Professional or similar programs.
  • Familiarity with contract management or matter management platform(s) is a plus.
  • Familiarity or experience with Legal Operations a plus.
  • Familiarity with RMIS is a plus.


Qualifications:



  • Fluency with respect to commercial contracts, non-disclosure agreements, acquisition agreements, finance agreements, real estate transactions, leasing, and other transactional documents
  • Basic familiarity with data privacy, employment law, and regulatory compliance matters.
  • Prior private practice, in-house counsel, and/or corporate transactional experience preferred.


Education Requirements:



  • JD from an ABA accredited law school
  • Licensed member of a state bar
  • Meets state requirements for continuing legal education
  • At least 3-5 years of experience practicing law



Physical Requirements: Physical demands consist of standing, walking, sitting for long periods of time, occasionally lifting up to 25 lbs., typing, hearing, and speaking.

Environmental Conditions: Typical indoor office environment, workspace, meeting rooms, and break room/lunchroom
