Skadden, Arps, Slate, Meagher & Flom LLP seeks a Mid-Level Associate in New York, NY to provide legal counsel to a variety of clients in complex transactional matters. Requires a Juris Doctor degree, Master of Laws degree, or equivalent and two (2) years of experience analyzing compliance of complex compensation and benefits matters with federal regulations, including the Internal Revenue Code (IRC), the Employee Retirement Income Security Act (ERISA), and Securities and Exchange Commission (SEC) rules; advising clients on executive compensation and benefits-related matters in public and private mergers and acquisitions, private equity transactions, and other corporate transactions; analyzing, drafting, and reviewing executive compensation and benefits disclosures, equity incentive plans, employment agreements, and severance arrangements; drafting S-8 prospectuses for employee benefits plans; analyzing compensation clawback rules and drafting related agreements; preparing change of control analysis to facilitate the transactions; preparing issue lists, diligence reports, and executive summaries; and preparing SEC forms including definitive proxy statement Schedule 14A and public company annual, quarterly and current reports including Form 10-K, 10-Q, and 8-K. Must be admitted to practice law in the State of New York. Telecommuting and/or working from home may be permissible pursuant to company policies. The starting base salary for this New York position is expected to be between $310,000 to $365,000 annually. Actual salary will be determined based on skills, experience (to the extent relevant) and other job-related factors, consistent with applicable law.
