Position Overview

The General Counsel serves as Mosaic's primary legal advisor for day-to-day operations and healthcare regulatory compliance, providing enterprise-wide legal guidance while protecting Mosaic's corporate interests and mitigating risk. This role partners closely with the Chief Executive Officer and executive leadership team to ensure strong governance, regulatory adherence, and sound legal practices across a complex, highly regulated healthcare environment.

In addition to legal counsel responsibilities, the General Counsel oversees key organizational functions including Legal, Compliance, Risk Management, External Affairs, and Internal Audit, supporting Mosaic's mission, sustainability, and growth.



Key Responsibilities
Legal & Enterprise Counsel

  • Serve as the primary legal advisor to the CEO and executive leadership team on operational, regulatory, and strategic matters
  • Provide legal guidance across all areas of the organization, including healthcare compliance, employment matters, contracts, and litigation
  • Translate legal and regulatory requirements into practical, operational guidance for business leaders


Governance & Regulatory Oversight

  • Maintain the integrity of corporate legal records and subsidiary documentation
  • Support the CEO and CFO with corporate governance matters, ensuring all entities remain in good standing
  • Serve as a legal resource and staff liaison to the Board of Directors' Integrity Committee as directed
  • Represent Mosaic before regulatory agencies, legislative bodies, auditors, and trade associations


Legal Operations & Risk Management

  • Lead and oversee the Legal, Compliance, Risk Management, External Affairs, and Internal Audit functions
  • Identify legal and regulatory risks and support the Enterprise Risk Management process
  • Select, direct, and manage outside counsel for litigation and specialized healthcare matters
  • Ensure effective legal documentation, record-keeping, and use of technology solutions to support outcomes


Transactions, M&A, and External Matters

  • Structure, draft, negotiate, and/or oversee legal work related to contracts and commercial agreements, including joint ventures, acquisitions, sales, leasing, and financing
  • Manage and oversee legal due diligence for mergers, acquisitions, and divestitures
  • Serve as a key legal reviewer and advisor for M&A activity and strategic partnerships



This position serves as the primary legal counsel for the organization's day-to-day operations and healthcare regulatory compliance. The General Counsel provides legal guidance and support across the enterprise while overseeing specific functions (Legal, External Affairs, Compliance, Risk Management and Internal Audit) focusing on the protection of corporate interests, regulatory adherence, and risk mitigation.

Requirements
Education & Licensure

  • Juris Doctor from an ABA-accredited law school
  • Active bar membership in good standing
  • Nebraska State Bar admission preferred


Experience

  • Minimum of 10 years of relevant legal experience
  • Corporate law experience preferred
  • Healthcare regulatory and compliance experience strongly preferred
  • Prior experience advising senior leaders and Boards


Knowledge, Skills & Abilities

  • Deep knowledge of healthcare business law and HIPAA
  • Strong understanding of corporate governance and regulatory environments
  • Ability to exercise sound judgment, discretion, and confidentiality
  • Strong relationship-building and communication skills, with the ability to convey complex legal matters clearly
  • Demonstrated ability to lead teams and manage multiple functional areas
