Overview

Orrick currently has an excellent opportunity in the Washington DC office for a Transactional Paralegal.

As a Paralegal, you will support the delivery of quality legal services to clients by drafting documents and coordinating with transaction participants. Requisite skills are accuracy, attention to detail, strong organizational skills, strong written and oral communication skills and computer proficiency. You will provide assistance to others in all aspects of finance work, focusing on the organization and maintenance of documents and transactional information. The Paralegal is expected to remain assigned to transactions from inception to completion and may be assigned to all transactions for recurring clients, serving as a key resource and focal point for the financing team.


Responsibilities

  • Coordinate and track financing schedules, document flow, and activities for public finance, structured finance and tax-related transactions from inception to closing.
  • Prepare, review, and maintain consistency in transaction documents, including initial drafts, third-party documents, due diligence materials, and key structuring components (such as defined terms, authorized signatories, formatting, and styles).
  • Facilitate and manage transaction closing schedules, ensuring all signatories are in place and documents are finalized for execution and closing.
  • Assist with the preparation, filing, and review of reports and forms required by governmental agencies (e.g., IRS tax documents, state debt issuance filings, UCC financing statements and statutorily required filings).
  • Conduct basic research and review statutory and administrative procedures to ensure compliance with IRS procedural and statutory requirements, including audit responses.
  • Acting as liaison with the client and any outside entities such as government agencies, corporations, vendors and other law firms to facilitate transactions.
  • Facilitate the review of borrower organizational, tax due diligence, and project-specific transaction materials.
  • Draft and fact-check issuer and borrower securities and tax disclosures, as well as bond sale materials.
  • Manage transaction mechanics to enable attorneys to focus on legal strategy, negotiations, and business development.
  • Prepare and assemble closing transcripts, attend pre-closings and closings.
  • Performing other tasks as required and other related duties as assigned.

Qualifications

  • Bachelor's degree from an accredited institution or equivalent work experience.
  • At least two years of paralegal or relevant experience is required
  • Excellent organizational and time management skills; ability to coordinate multiple tasks concurrently.
  • Exceptional attention to detail and accuracy.
  • Strong verbal and written communication skills.
  • Excellent computer skills and proficiency with Windows/Office applications; ability to learn practice-related software.
  • Willingness to learn and use AI tools for appropriate tasks.
  • Strong client-service and interpersonal skills.
  • Ability to think proactively, creatively, and with a problem-solving mindset.
  • Capacity to develop a detailed understanding of complex issues and procedures.
  • Ability to work under pressure in a fast-paced environment.
  • Reliability and flexibility with respect to work hours to meet transaction demands.
  • Willingness to travel periodically.
  • Transactional experience/background preferred.

Compensation and Benefits

The expected salary range for this position is $58,000 - $83,500.

Orrick is committed to providing a comprehensive, competitive, and thoughtful total compensation package to our attorneys and staff, wherever they work. This compensation and benefits information is based on the Orrick's estimate as of the date of publication and may be modified in the future. The level of pay within the range will depend on a variety of job-related factors that may include, but not limited to, qualifications, relevant experience or education, particular skills or expertise, geography. Other compensation may include an annual discretionary merit bonus, which would be determined by Firm and individual performance.
