The Role and Team

A phenomenal opportunity exists within Medallia's Legal organization. We are seeking a Legal Counsel, Procurement, Data Privacy and AI to join our Global Legal team. This role serves as a strategic partner across Medallia, combining inbound contracting with data privacy and AI governance support. You will be the day-to-day legal owner for vendor and procurement agreements across Enterprise, Product, Benefits, and Marketing, including partnership and alliance agreements, and you will support Medallia's privacy, AI governance, and product legal work under the leadership of the Head of Privacy, AI, and Product Legal.

You will partner closely with stakeholders across Procurement, Compliance, Security, Finance, Product, Engineering, People & Culture, and Marketing to structure practical solutions, communicate clear risk tradeoffs, and drive deals to closure. You will also help scale how the team works by developing and maintaining templates, playbooks, and repeatable guidance that enables consistent, efficient decision-making in a fast-moving environment.


Responsibilities

  • Lead inbound contracting across vendors and alliances: Draft, review, and negotiate a broad range of inbound agreements supporting Enterprise, Product, Engineering, Benefits, People & Culture, Finance, IT, and Marketing teams, among others, including vendor and procurement agreements (SaaS and cloud services, professional services, SOWs, order forms, DPAs, AI terms, NDAs, and related supplier terms) and partnership and alliance agreements.
  • Own negotiation strategy and key terms: Drive deal structure, fallback positions, and escalations, and negotiate critical terms including commercial and renewal provisions, SLAs and service credits, confidentiality, IP and data rights, information security obligations, warranties, indemnities, limitation of liability, and termination.
  • Drive cross-functional execution and risk decisions: Partner with Procurement, Finance, Compliance, Security, and business owners to move matters from intake to signature, manage competing priorities, and resolve issues thoughtfully and efficiently. When material risks cannot be fully resolved through negotiation, analyze legal, privacy, security, and business impacts and draft risk acceptance memoranda summarizing key issues, mitigations, and recommendations to support informed business decisions.
  • Operationalize and scale contracting workflows: Build and maintain templates, playbooks, clause libraries, and approval guidance for inbound agreements; identify recurring issues and implement process improvements that increase consistency and speed.
  • Support privacy, AI governance, and product legal counseling: Provide day-to-day legal support on privacy program and AI governance matters across Medallia's operations and products, and assist with product legal and customer-facing questions related to privacy and AI, including shaping positions, documentation, and communications.

Candidates based in the Tysons Corner, VA, Mexico City or Buenos Aires vicinity will be prioritized as this role is Hybrid, 3 days per week onsite.


Qualifications

Minimum Qualifications

  • Education: Law degree from an accredited university, including Titulo de Abogado (Argentina) or Licenciatura en Derecho (Mexico) or equivalent.
    Bar Admission: Active professional license and in good standing, including Matricula with CPACF or a provincial bar association (Argentina) or Cedula Profesional (Mexico), or equivalent.
  • At least 3 years of relevant legal experience in a law firm, government agency, and/or in-house legal department, with experience supporting commercial contracting.
  • Contracting Experience: At least 2 years negotiating commercial contracts, including cross-border commercial transactions and matters involving multiple jurisdictions in the Americas (including the U.S. and LATAM).
  • Languages: Full professional proficiency in English, both written and spoken, as the role involves daily negotiation and drafting with U.S.-based and global stakeholders.
  • Interview Requirement: A portion of the interview process will be conducted in English, including a brief legal drafting exercise.

Preferred Qualifications

  • Inbound Contracting Depth: Broad experience negotiating inbound commercial agreements across enterprise software, cloud services (AWS, GCP, Azure), professional services, marketing services, benefits-related vendors, and other critical supplier relationships.
  • AI Fluency: Familiarity with AI and LLM-related legal and contracting issues, including data use and training restrictions, IP and output rights, and allocation of risk for AI-related claims.
  • Risk Communication: Strong judgment assessing non-standard risk, proposing mitigations, and drafting clear risk summaries.
  • Ways of Working: Collaborative, practical, and execution-oriented, with a positive approach and ability to manage multiple priorities.

Medallia is committed to equal pay and transparency. The annual base salary range for this position is $129,000 - $185,000. Please note that the salary range information provided is a general guideline and combines all of the distinct labor markets within the US. It is uncommon for an individual to be hired at or near the top of the range for their role and compensation decisions are dependent on a variety of factors. Medallia considers factors such as (but not limited to) scope and responsibilities of the position, candidate's work experience, candidate's work location, education/training, key skills, internal peer equity, external market data, as well as, market and business considerations when making compensation decisions.
