Job Summary:
Join Aleron's legal team as a Corporate Counsel, who won't just review contracts, you'll shape the deals that drive our business, with direct mentorship from our General Counsel. The Corporate Counsel's chief responsibility is acting as the primary reviewer and editor for agreements between Aleron and its customers. In this role, the Corporate Counsel will review, redline, and advocate for Aleron in calls/on meetings with counterparties on MSAs, SOWs, NDAs, POs, Order Forms, and any other agreements that form the foundation of Aleron's customer relationships. The Corporate Counsel will also play a crucial role in managing Aleron's contractual relationships with its vendors across many different service lines, including payroll, IT, SaaS, real property, and general procurement.
This role reports directly to Aleron's General Counsel and includes substantial 1:1 time with the General Counsel and company leadership, as the Corporate Counsel also serves as a trusted advisor on immigration, intellectual property, collections, litigation, employment, and overall risk management. Because of the structure of the department and Aleron's diverse legal needs, the successful candidate will have significant opportunity to gain exposure across disciplines, though the core of the role will remain contracts and agreements.
Essential Duties and Responsibilities:
* Coordinate the review, negotiation, and execution of all Aleron customer agreements.
* Provide initial review and analysis of all Aleron vendor agreements.
* Review and action direction from internal stakeholders into agreement amendments and modifications.
* Provide detailed review, analysis, and recommendations on RFPs, contracts, and leases to ensure accuracy, legality, and responsiveness to requirements.
* Negotiate legal and contractual issues with suppliers, vendors, and customers to resolve disputes.
* Use legal training and expertise to clarify and negotiate contractual requirements to suppliers and vendors; act as liaison between staff and customers/vendors to facilitate the contract execution process.
* Manage claims, litigation, and settlement matters through to resolution, including selection and oversight of outside counsel.
* Evaluate delinquent accounts and direct Aleron's collections and demand-letter strategy, taking primary responsibility for all collection-related communications.
* Manage Aleron's trademark portfolio, including USPTO filings, prosecution, and renewals - an area where the right candidate can build deep subject-matter expertise.
* Review and advise on regulatory and workforce compliance matters, including worker classification, immigration/work-authorization requirements, and insurance and risk-transfer issues arising from new and existing business.
* Negotiate data privacy and information-security terms in customer and vendor agreements, including data processing addenda, breach-notification obligations, and background-check and applicant-data handling.
* Support Aleron's immigration matters, including work-authorization and sponsorship questions arising from placements, in coordination with outside immigration counsel.
* Create, compile, and maintain databases and document files for all contracts and related legal matters (with the assistance of administrative staff).
* Build and maintain Aleron's contract templates, playbooks, and fallback positions to speed up routine turnaround.
* Provide ongoing guidance and training to sales, recruiting, and operations teams on contract terms, risk allocation, and escalation triggers, ensuring business teams operate with sound legal awareness.
* Assist with corporate governance and entity maintenance across the Aleron family of companies, including formation documents, state registrations, annual filings, and corporate records.
* Serve as backup to the General Counsel across the Legal Department's matters, exercising independent legal judgment where the situation calls for it.

Job Requirements
Required Skills / Qualifications:
Required:
* Law Degree from an accredited law school.
* Admitted to the Bar in New York or another state.
* Experience reviewing, drafting, and editing agreements and amendments, with deep expertise in the Track Changes function of MS Word (redlines).
* Comfortable exercising independent legal judgment and managing a broad, varied caseload with limited legal-department support.
* Nuanced understanding of key legal concepts relevant to Aleron operations, including indemnification, limitation of liability, wage and hour, independent contractor and co-employment risk, intellectual property, confidentiality, and insurance and indemnity structures.
* Candidates must be highly organized, self-motivated, willing to accept direction, have strong oral and written communications skills, and possess the capacity to work in a deadline-oriented, fast-paced environment.
Preferred:
* 3-5 years' experience in general transactional matters, ideally including hands-on negotiation of MSAs, SOWs, NDAs, and order forms on the customer side.

* This role operates in a modern, hybrid work environment, utilizing technology such as laptops, video conferencing tools, cloud-based applications, and collaborative platforms. Flexibility for remote work is supported, while in-office settings may still involve the use of standard office equipment like computers, telephones, and printers.
* The physical demands described here are representative of those required for an employee to successfully perform the essential functions of this job. While carrying out job duties, the employee must regularly be able to speak clearly and hear effectively to communicate with others. The role also frequently requires standing, walking, using hands for fine motor tasks, and reaching with arms.
* Possess a valid driver's license, a good driving record, and a serviceable vehicle suitable for business transportation.
* Must be able to lift and move up to 50 pounds regularly.
