    Position Summary:

    Shimadzu Scientific Instruments is seeking a Corporate Counsel, Regulatory & Business Affairs to provide legal and regulatory leadership across the organization. In this position, you'll help identify, interpret, and manage federal, state, and local regulatory requirements while advising leaders on legal risk, compliance, contracts, and business decisions.

    You'll work closely with executives, departmental leaders, and the Clinical Regulatory Manager to evaluate regulatory developments, recommend practical compliance solutions, and support responsible business operations. Your work will span environmental, FDA, OSHA, NRC, DOJ, DOT, clinical, and broader business affairs matters.

    You'll also lead the Regulatory department, provide guidance on contracts and pre-litigation matters, and help translate complex legal and regulatory requirements into clear, actionable direction.     JOB FUNCTIONS INCLUDE, BUT ARE NOT LIMITED TO:

    Regulatory Compliance & Risk Management:



    • Continually assess federal, state, and local regulatory requirements and determine how they apply to Shimadzu Scientific Instruments, including our Columbia, MD headquarters, regional offices, and laboratories.
    • Monitor and interpret regulatory developments involving OSHA, EPA, FDA, DOJ, DOT, NRC, and applicable state and local authorities.
    • Evaluate organizational risk related to regulatory requirements and recommend practical solutions to maintain compliance.
    • Monitor internal activities and reporting to identify emerging or potential regulatory compliance issues.
    • Partner with departmental leaders to implement appropriate compliance actions and strengthen internal governance practices.
    • Help ensure company operations and business activities comply with applicable laws, regulations, and internal policies.


    Legal & Business Affairs:



    • Advise executives and business leaders on legal risks, regulatory considerations, contract status, and business terms associated with company activities and transactions.
    • Draft, review, edit, negotiate, and execute routine business documents, contracts, and agreements, including memoranda of understanding, nondisclosure agreements, terms and conditions, vendor agreements, and distributor agreements.
    • Review advertising and marketing materials for compliance with applicable legal requirements.
    • Perform pre-litigation work designed to minimize organizational risk and exposure.
    • Provide legal advice and recommendations on a broad range of company business matters.


    Training & Organizational Development:



    • Partner with departmental managers to identify regulatory knowledge gaps among employees and develop appropriate training solutions.
    • Evaluate completed training programs to assess effectiveness, business impact, and return on investment.
    • Use feedback tools such as surveys, testing, and follow-up assessments to determine whether regulatory training is achieving its intended outcomes.
    • Provide relevant training effectiveness feedback to the General Counsel.


    Clinical & Regulatory Leadership:



    • Work with the Clinical Regulatory Manager to provide legal and regulatory guidance related to clinical instrumentation and applicable product requirements.
    • Provide leadership, direction, and guidance to the Regulatory department to support compliance with applicable product, reporting, and organizational requirements.
    • Supervise Regulatory department managers, supervisors, and staff.



    EDUCATION AND QUALIFICATIONS:



    • A Juris Doctor from an ABA-approved law school is required.
    • At least 4 years of legal experience.
    • At least 2 years of experience in regulatory compliance.
    • Demonstrated ability to research, interpret, and summarize laws, regulations, statutes, and related legal requirements.
    • Familiarity with federal, state, and local regulatory frameworks, including FDA, EPA, OSHA, NRC, DOJ, and related requirements, is required.
    • Experience drafting, reviewing, and interpreting business contracts, agreements, and related legal documents.
    • Strong analytical skills and the ability to evaluate risk, interpret data and regulatory trends, and recommend practical solutions are essential.
    • Strong written and verbal communication, presentation, organizational, and interpersonal skills are required.
    • Ability to work effectively with employees, customers, executives, and business partners across disciplines and organizational levels.
    • You'll be able to identify training needs, develop effective regulatory training solutions, and evaluate program effectiveness.
    • Ability to travel as required, generally on a quarterly basis, is required.



    Compensation & Benefits:

    This full-time, exempt position comes with a comprehensive benefits package. In your first year, you will receive 10 paid vacation days, 8 paid personal days, 8 paid scheduled holidays and 3 paid floating holidays (Residents of California and Puerto Rico will receive state-mandated sick leave instead of personal days). After one year of employment, you will also be eligible for a generous short-term disability program with the company covering 100% of monthly premiums.

    The starting salary range for this role is $160,000 to $165,000 annually, paid semi-monthly. Additional variable compensation may include a discretionary year-end bonus based on overall company performance.
